Terms & Conditions of Use
1. About Eduriti Strategist and These Terms
Eduriti Strategist is a product suite developed and operated by Sanjay Mahendrakumar Mukherjee, an independent business and learning technology consultant based in Pune, Maharashtra, India ("we," "us," "our"). The Strategist Suite comprises AI-powered tools for founders, consultants, and business owners who need structured strategic outputs — business plans, prospect lists, outreach sequences, and financial models — without the overhead of a consulting engagement.
These Terms govern your access to and use of all Strategist Suite products. Product-specific provisions are set out in Section 11. In the event of conflict between general terms and a product-specific provision, the product-specific provision governs.
We reserve the right to update these Terms from time to time. The version in effect at the time of your purchase applies to that transaction. Continued use of any product after revised Terms are published constitutes acceptance of the revised Terms.
2. What Each Product Does
Strategist Suite products are AI-native tools that process inputs you provide and generate outputs using large language model (LLM) technology. Each product is a defined, bounded service:
- Business Plan: Accepts a structured brief about your business across three passes, generates a pre-payment summary for review, and — after payment — produces an investor-grade business plan (PDF) and financial model (Excel) delivered by email.
- Sales Engine: Accepts your product/service offerings and target market, generates a pre-payment Market Opportunity Summary for review, and — after payment — produces a prospect list sourced from Google Places (publicly listed B2B businesses), outreach sequences for your selected channels, and a live Excel Sales Engine workbook delivered by email. B2B use only — see Section 9.
- GTM Strategy (coming soon): Will generate a structured go-to-market strategy document covering positioning, channel strategy, launch sequencing, and messaging frameworks. Terms for this product will be added when it launches.
- Pricing Model (coming soon): Will generate a structured pricing model covering pricing strategy, tier design, competitive benchmarking, and revenue projections. Terms for this product will be added when it launches.

3. Purchase, Payment, and Access
All purchases are processed through Razorpay. By completing payment, you confirm that you are authorised to use the payment method provided and that the information you have supplied is accurate.
Access to paid outputs is provided via email delivery to the address you supply during intake. It is your responsibility to ensure this address is correct. We are not liable for non-delivery caused by an incorrect email address, spam filters, or mailbox issues outside our control.
Generated files (PDF, Excel) are stored for 7 days from the date of generation and then permanently deleted. We do not maintain copies and cannot restore expired outputs. A new purchase is required for re-generation.
Prices are displayed in Indian Rupees (INR) and include applicable GST where required. Prices may change without notice but changes do not affect transactions already completed.
4. Refund Policy
Our refund policy is simple: we do not offer refunds for dissatisfaction with AI-generated outputs. Refunds are issued only when a verified technical failure prevents the product from delivering the output it is designed to produce.
4.1 When a Refund Will Be Issued
A refund will be issued if, and only if, a technical failure occurs that prevents the product from completing its intended pipeline and delivering output. Specifically:
- The generation process fails to complete (server error, timeout, or pipeline crash).
- Outputs are delivered but are blank, corrupted, or structurally incomplete.
- Delivery emails are sent but attachments are missing or non-functional after one reported retry attempt.
Technical failures are logged in our system with error codes, timestamps, and pipeline state. Any refund request will be assessed against this log. If the log shows successful completion, no refund is payable.
4.2 When a Refund Will Not Be Issued
- Dissatisfaction with the quality, depth, structure, or content of AI-generated outputs.
- Outputs that are complete but do not match your expectations or intended use.
- Outputs generated from poor-quality, incomplete, or inaccurate input data.
- User error: incorrect data entered, wrong segment specified, incorrect email address provided.
- Outputs reviewed and accepted at a pre-payment checkpoint (Market Opportunity Summary, Business Plan Summary) but found unsatisfactory at a later stage.
- Failure to receive email due to spam filtering, incorrect address, or mailbox issues outside our control.
- For Sales Engine: dissatisfaction with the number or quality of Google Places results in your city/area/segment — Places API results are drawn from publicly listed businesses and vary by location density.
4.3 How to Request a Refund
Contact support@eduriti.com within seven (7) days of the failed transaction. Include your order ID, the email address used at checkout, and a description of the technical failure. We will respond within five (5) business days.
5. Data and Privacy
We collect only what is necessary to provide the service.
5.1 Data We Collect
- Contact and transaction data: email address, Razorpay payment reference.
- Input data you provide during intake: business details, offerings, market information, sales motion preferences.
- Usage and pipeline logs: timestamps, generation status, error codes.
5.2 How Your Data Is Handled
Your input data is used solely to generate the outputs you have purchased. We do not sell, share, or use your data for marketing, profiling, or any purpose beyond service delivery.
Session data and generated files are retained for 7 days after generation and then permanently deleted. Transaction records (email, order ID, payment reference) are retained for 90 days for support and audit purposes, then deleted.
5.3 Google Places Data (Sales Engine)
The Sales Engine uses the Google Places API to source prospect data. Only publicly listed business information is retrieved and stored: business name, address, publicly listed phone number, business category, and Google rating. No personal contact data — personal mobile numbers, personal email addresses, or names of private individuals — is sourced, stored, or included in any output at any point. This is a hard architectural constraint, not a policy preference.
5.4 AI Processing
Your input data is processed by Anthropic's Claude API. Your content is transmitted to Anthropic for processing; Anthropic's own data handling policies apply. You are responsible for ensuring you have the right to submit the content you provide for AI processing.
5.5 Governing Law for Data and AI Regulation
Data processing is governed by the Information Technology Act, 2000 (India) and the Digital Personal Data Protection Act, 2023 (India). For data-related queries: privacy@eduriti.com.
Where outputs from this service are used within the European Union, Regulation (EU) 2024/1689 (the EU Artificial Intelligence Act) may apply. Our compliance posture with respect to that regulation is set out in Section 14 of these Terms.
6. Intellectual Property Rights
6.1 Our IP
All software, prompts, pipeline architecture, business frameworks, decision-making logic, documentation, branding, and product design comprising Eduriti Strategist are the exclusive intellectual property of Sanjay Mahendrakumar Mukherjee. Nothing in these Terms transfers any ownership of our IP to you.
6.2 Your Input Data
You retain all rights to the business information you provide. By submitting it, you grant us a limited, non-exclusive licence to process that data solely to deliver the service purchased. You warrant that the information is accurate and does not infringe third-party rights.
6.3 Your Generated Outputs
You own the outputs we generate for you. You may use, adapt, publish, and act on them without restriction. We make no representations about the originality or completeness of AI-generated content and are not liable for outcomes arising from decisions made on the basis of these outputs.
6.4 No Reverse Engineering
You may not reverse-engineer, decompile, or attempt to extract the prompts, pipeline logic, or model configurations underlying our products.
7. AI Disclaimers and Output Quality
AI-generated outputs are provided as-is. They are a structured starting point, not a substitute for professional advice. Business plans, prospect lists, outreach sequences, and financial models generated by Strategist should be reviewed, validated, and adapted before acting on them.
Our products use large language models. By their nature, LLMs are probabilistic — the same input may produce different outputs on different runs. Outputs may contain factual errors, market estimates that require verification, or financial projections that reflect assumptions you have provided rather than independently verified data.
Prospect data sourced via Google Places reflects publicly listed business information at the time of query. We do not guarantee the accuracy, completeness, or currency of third-party data returned by the Places API.
You are solely responsible for reviewing, validating, and acting on any output generated by Strategist products.
8. Limitation of Liability
To the fullest extent permitted by applicable law:
- We are not liable for any indirect, incidental, consequential, special, or punitive damages, including loss of data, revenue, business opportunity, or reputational harm.
- Our aggregate liability for any claim shall not exceed the amount you paid for the specific transaction giving rise to the claim.
- We are not liable for any outcome arising from business decisions made on the basis of AI-generated outputs.
- We are not liable for service interruptions caused by third-party infrastructure (Railway, Razorpay, Anthropic API, Google Places API) or events outside our reasonable control.
Nothing in these Terms limits liability for fraud, death, or personal injury caused by negligence, or any other liability that cannot be excluded under Indian law.
9. Acceptable Use
You agree not to use any Strategist product to:
- Submit false, misleading, or fabricated business information to generate outputs intended to deceive third parties (investors, partners, lenders).
- Use the Sales Engine for B2C outreach, personal data collection, or contact of private individuals — B2B use only, publicly listed businesses only.
- Attempt to circumvent, probe, or reverse-engineer the product's AI pipeline, prompts, or architecture.
- Resell, sub-licence, or redistribute access to any product without our written consent.
- Use any product in any way that violates applicable law.
We reserve the right to refuse service or terminate access, without refund, if we reasonably believe a violation has occurred.
10. Governing Law and Disputes
These Terms are governed by the laws of the Republic of India. Any dispute shall be subject to the exclusive jurisdiction of the courts of Mumbai, Maharashtra, India.
Before initiating formal proceedings, both parties agree to attempt in good faith to resolve any dispute through direct negotiation within thirty (30) days of written notice.
11. Product-Specific Provisions
11.1 Business Plan
Accepts a structured intake across three passes covering business details, unit economics, and financial assumptions. A pre-payment Business Plan Summary is shown for review before payment is required. By completing payment, you confirm you have reviewed the summary and accept it as the basis for full plan generation.
You receive a business plan (PDF) and financial model (Excel), delivered by email. Technical failure means: plan generation fails to complete, or delivered files are blank or corrupted.
11.2 Sales Engine
Accepts your offerings and target market (city, area, segment). A pre-payment Market Opportunity Summary is shown for review and correction before payment is required. By completing payment, you confirm you have reviewed the summary and accept it as the basis for prospect sourcing and outreach generation.
Prospect data is sourced from the Google Places API and reflects publicly listed B2B business information only. Prospect count varies by location density and segment — we do not guarantee a minimum number of results. You receive an Excel Sales Engine workbook delivered by email. Technical failure means: generation fails to complete, or the delivered Excel file is blank or corrupted.
B2B use only. The Sales Engine is designed exclusively for outreach to businesses and professional practitioners at their publicly listed contact points. Use for consumer outreach or personal data collection violates these Terms and applicable data protection law.
11.3 GTM Strategy (coming soon)

12. General
Severability: If any provision is found unenforceable, the remaining provisions continue in full force.
Entire Agreement: These Terms constitute the entire agreement between you and us with respect to the subject matter herein.
Assignment: You may not assign any rights or obligations without our prior written consent.
13. User Consent and Explicit Agreement
In line with applicable data protection frameworks — including the General Data Protection Regulation (GDPR) for users located in the European Economic Area — we require explicit, affirmative consent before payment is processed. A pre-payment consent checkbox is presented to all users at the payment step. The payment button is disabled until this checkbox is actively selected. Passive acceptance (e.g., mere continued use) is not treated as constituting agreement for the purposes of this provision.
The consent statement reads: “I have read and agree to the Terms & Conditions, Privacy Policy, and Refund Policy. I understand that outputs are AI-generated and require my review before use.” By checking this box, you confirm that you have had the opportunity to read these Terms in full and accept them.
14. EU Artificial Intelligence Act — Compliance Declaration
Regulation (EU) 2024/1689 of the European Parliament and of the Council (the “EU AI Act”) entered into force on 1 August 2024 and is fully applicable from 2 August 2026. Eduriti Strategist is developed and operated from India. However, the EU AI Act applies extraterritorially — it governs AI systems whose output is used within the European Union, regardless of where the provider is established. Accordingly, this section sets out our compliance posture for EU users.
14.1 Classification of Eduriti Strategist as an AI System
Eduriti Strategist (Business Plan and Sales Engine) is classified as a Limited Risk AI system under the EU AI Act. This classification reflects the following:
- Not High Risk: Neither the Business Plan nor the Sales Engine falls within the Annex III high-risk categories. Neither product determines or substantially influences access to education, employment, essential services, credit, or any other fundamental rights. Both products generate structured documents and data for professional review — the human user retains full decision-making authority.
- Not Prohibited: Neither product employs subliminal manipulation, social scoring, biometric surveillance, real-time biometric identification, or emotion recognition. The Sales Engine is architecturally constrained to publicly listed B2B business data only — it does not process or profile individual natural persons.
- Limited Risk — Transparency Obligations Apply: Both products generate content using large language model technology that users may act upon. Article 50 transparency obligations (users must be informed when interacting with AI) apply and are met as described in Section 14.2 below.
14.2 How We Meet Transparency Obligations (Article 50)
The EU AI Act requires that users be clearly informed when they are interacting with an AI system and that AI-generated content be identifiable. Eduriti Strategist meets these obligations at every layer of the product:
- Landing page (UI): Both the Business Plan and Sales Engine landing pages display “AI-Powered” in the primary hero heading, making the AI nature of the service explicit at first contact, before any data is submitted.
- Generation flow (UI): The pre-payment review step is explicitly labelled “Review your AI summary” (Business Plan) and “Market Opportunity Summary” generated by AI (Sales Engine). The user encounters the AI label at the critical decision point before payment.
- Payment step (UI — explicit consent): A mandatory checkbox must be actively selected before the payment button is enabled. The checkbox statement reads: “I understand that outputs are AI-generated and require my review before use.” This constitutes an explicit, affirmative opt-in acknowledgement of the AI nature of the output, consistent with the GDPR opt-in model and EU AI Act transparency requirements.
- Terms of Service (this document, Section 2 and Section 7): Section 2 describes all products as “AI-native tools... using large language model (LLM) technology.” Section 7 provides full AI disclaimers covering probabilistic output nature, human review obligation, and sole user responsibility.
- Business Plan PDF output: The cover page of every generated Business Plan PDF states “Powered by Eduriti Strategist · AI Business Planning.” An AI disclaimer section appears in the document itself, identifying the content as AI-generated and requiring professional review before use.
- Sales Engine Excel output: The Guidelines sheet of every generated Sales Engine workbook contains a dedicated “AI DISCLAIMER” section identifying the workbook as AI-generated, noting that prospect data is sourced from publicly listed Google Places listings, and stating that all analysis is a starting point for human judgment — not a guarantee of outcomes.
- Anthropic API disclosure (Section 5.4): Users are expressly informed that their input is processed by Anthropic’s Claude API, with a reference to Anthropic’s data handling policies.
14.3 Our Role in the AI Value Chain
Eduriti Strategist is an AI system provider and deployer under the EU AI Act. We build and operate application-layer products that call foundation models via API. We are not a General-Purpose AI (GPAI) model provider. Anthropic (provider of the Claude API) bears the GPAI obligations under Article 53 of the EU AI Act, including technical documentation and training data transparency. Eduriti bears the application-layer obligations applicable to Limited Risk AI system providers, as set out in this section.
14.4 Human Oversight
Both products are designed around an explicit human oversight model:
- Business Plan: A pre-payment AI summary is presented for review and acceptance before the full generation run begins. The user actively confirms the summary before any payment is taken. Post-delivery, the user owns the output and is solely responsible for reviewing, validating, and acting on it.
- Sales Engine: A pre-payment Market Opportunity Summary is presented for review and correction before payment. The user confirms the summary is an accurate basis for prospect sourcing. Post-delivery, the user is solely responsible for verifying contact information, applying their own judgment to prospect prioritisation, and conducting outreach in compliance with applicable law.
Neither product makes autonomous decisions affecting individual natural persons. All outputs are documents and data for human review and use. This structural design keeps both products outside the high-risk tier under Annex III of the EU AI Act.
14.5 Prohibited Practices
Eduriti Strategist does not employ any AI practice prohibited under Article 5 of the EU AI Act (effective 2 February 2025). Specifically: no subliminal or manipulative techniques are used; no social scoring is performed; no biometric identification or categorisation is conducted; no emotion recognition is employed; and the Sales Engine is architecturally constrained to publicly listed B2B business data, preventing any use for profiling or targeting of individual natural persons.
14.6 Applicable Deadline and Ongoing Compliance
The primary EU AI Act compliance deadline for Limited Risk AI system providers is 2 August 2026. Eduriti Strategist’s transparency and disclosure measures are in place ahead of this deadline. We will monitor the EU Commission’s Transparency Guidelines (expected Q2 2026) and the Digital Omnibus proposals and update this section accordingly. The governing law for disputes remains as set out in Section 10. The EU AI Act compliance obligations described in this section apply in addition to, and do not replace, the applicable Indian law framework.
